End User License Agreement
This End User License Agreement (the "Agreement" or "EULA") is a binding legal contract between you ("you", the "User") and Shadow+ ("Shadow+", "we", "us", or "our") governing your access to and use of the Shadow+ mobile application, web dashboard, hardware devices (including ShadowTag location trackers and KillSwitch immobilizer relays), and related services (together, the "Service"). By creating an account, installing or using the app, or activating any Shadow+ hardware, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
Please read Section 4 (Lawful Use & Consent) and Section 5 (Immobilizer Safety) carefully — they describe critical responsibilities and safety limitations of a tracking and vehicle-immobilizer product.
1. License Grant
Subject to your continued compliance with this Agreement, Shadow+ grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Shadow+ application on a device you own or control, and to access the Service, solely for your own lawful, personal or internal business purposes. Shadow+ reserves all rights not expressly granted to you.
2. Eligibility & Accounts
You must be at least the age of majority in your jurisdiction (and at least 18 years old) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. Notify us immediately of any unauthorized use of your account.
3. Hardware & Activation
The Service may operate with Shadow+ hardware, including ShadowTag location trackers and KillSwitch immobilizer relays. Hardware is sold separately and subject to the terms presented at the time of purchase. Purchasing hardware does not by itself provision it to your account; you must claim and activate each device in the app. You are responsible for the lawful and proper installation of any hardware, including any vehicle wiring of a KillSwitch relay, which should be performed by a qualified installer. Improper installation may damage property or create safety hazards and is solely your responsibility.
4. Lawful Use & Consent
The Service is a tool for tracking and protecting property you own or that you are expressly authorized to track and control. You agree that you will:
- Only place, attach, or use a tracker on a person, vehicle, asset, or property that you own or have the clear legal right and any required consent to monitor;
- Obtain the informed consent of any individual whose location may be tracked, where consent is required by applicable law;
- Comply with all applicable laws, including privacy, surveillance, wiretapping, anti-stalking, vehicle, and data-protection laws in your jurisdiction.
You may not use the Service to stalk, harass, monitor, or track any person without their knowledge or consent, or for any unlawful, harmful, or invasive purpose. Unauthorized tracking of individuals is illegal in many jurisdictions and is strictly prohibited. You are solely responsible for ensuring your use of the Service is lawful. Shadow+ disclaims all liability arising from your unlawful or unauthorized use and may suspend or terminate accounts and cooperate with law enforcement in response to misuse.
5. Immobilizer Safety
The KillSwitch feature is designed to help immobilize a vehicle as an anti-theft measure. It is your responsibility to use it safely and lawfully. You agree that you will not activate, arm, or trigger an immobilizer on a vehicle that is in motion, occupied, or in any circumstance where disabling the vehicle could endanger any person or property, obstruct traffic, or create a hazard. The immobilizer is intended to prevent a stationary, unattended vehicle from being started or driven away.
The Service depends on wireless connectivity, third-party networks, hardware, and battery power, and may fail, be delayed, or be unavailable. You must not rely on the Service as a sole or fail-safe security, safety, or emergency system. Shadow+ is not liable for any loss, theft, damage, injury, or consequence resulting from the operation, non-operation, delay, or failure of the immobilizer or any other feature.
6. Location Data & Accuracy
Location information provided by the Service — including ShadowTag positions — is approximate and provided on a "last known" basis. Depending on the device, positioning may be crowd-sourced or signal-based, may update only periodically, and may be inaccurate, delayed, or unavailable due to coverage, environment, battery, or third-party factors. The Service is not intended for emergency response, navigation, life-safety, or any situation where inaccurate or unavailable location data could lead to harm. Do not rely on it as your only means of locating a person, vehicle, or asset.
7. Subscriptions & Billing
Certain features (collectively, "Pro") require a paid subscription. Pricing, billing period, and included features are presented at the point of purchase. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date.
- If you purchase through the Apple App Store or Google Play, billing, renewals, and cancellations are managed by that store under its terms, and refunds are governed by that store's policies.
- If you purchase through our website, billing is processed by our payment processor (Stripe), and you may manage or cancel your subscription through the billing portal we provide.
- If a payment fails or a subscription lapses or is cancelled, Pro features (including movement and geofence alerts and remote arming) may be disabled until payment is restored.
Except where required by law or by an applicable app store's policy, fees are non-refundable. Hardware purchases are separate one-time transactions subject to the terms shown at checkout.
8. Restrictions
You agree not to, and not to permit any third party to:
- Copy, modify, translate, or create derivative works of the Service;
- Reverse engineer, decompile, disassemble, or attempt to derive source code, except to the extent this restriction is prohibited by law;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Service;
- Circumvent, disable, or interfere with security, authentication, rate-limiting, or access-control features;
- Access the Service to build a competing product, or scrape, harvest, or extract data at scale;
- Use the Service to transmit malware, or in any way that disrupts, damages, or impairs the Service or its infrastructure;
- Use the Service in violation of any applicable law or the rights of any third party.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including location data. By using the Service you consent to those practices. Where the Privacy Policy and this Agreement conflict regarding personal data, the Privacy Policy controls.
10. Intellectual Property
The Service, including all software, firmware, designs, text, graphics, logos, and trademarks, is owned by Shadow+ or its licensors and is protected by intellectual property laws. This Agreement grants you a license to use the Service, not any ownership of it. The "Shadow+" name and logo are trademarks of Shadow+ and may not be used without our prior written permission.
11. Third-Party Services
The Service relies on third-party platforms and providers, including mobile operating systems (Apple, Google), mapping providers, a location-hardware vendor, payment processors, and notification services. Your use of those components may be subject to their own terms, and Shadow+ is not responsible for the acts, omissions, content, or availability of any third-party service.
12. Disclaimer of Warranties
THE SERVICE AND ALL HARDWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHADOW+ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT ANY TRACKING, ALERT, OR IMMOBILIZER FUNCTION WILL OPERATE AS INTENDED OR AT ALL. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOW+ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR FOR THEFT, LOSS, OR DAMAGE TO ANY VEHICLE, ASSET, OR PROPERTY, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE, WHETHER OR NOT SHADOW+ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SHADOW+'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SHADOW+ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.00. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless Shadow+ and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use or misuse of the Service, your violation of this Agreement, your violation of any law or third-party right, or any unauthorized or unlawful tracking, monitoring, or immobilization carried out through your account.
15. Termination
This Agreement remains in effect until terminated. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach this Agreement or if we reasonably believe your use is unlawful or harmful. You may terminate by ceasing all use and deleting the app. Upon termination, the license granted to you ends and you must stop using the Service. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
16. App Store Terms
If you obtained the app from the Apple App Store, you acknowledge that this Agreement is between you and Shadow+ only, and not with Apple. Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. In the event the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claims relating to the app, including product-liability, regulatory, or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-party list.
If you obtained the app from Google Play, your use is also subject to the Google Play Terms of Service, and Google is not a party to this Agreement and is not responsible for the app.
17. Changes to this Agreement
We may update this Agreement from time to time. If we make material changes, we will provide reasonable notice, such as by updating the "Last updated" date above or through the app. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Agreement.
18. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, except where applicable law gives you the right to bring proceedings in your local courts. Nothing in this Agreement affects your statutory consumer rights that cannot be waived.
